Terms of Sale

These Terms of Sale (“Terms”) govern all purchases of products and services from Analog Technologies, Inc. (“ATI,” “we,” “us,” or “our”) through our website, direct sales channels, quotations, order acknowledgments, invoices, and related communications. By placing an order with ATI, you (“Customer” or “you”) agree to be bound by these Terms.

Effective Date: April 2026

1. Scope

These Terms apply to all ATI sales unless a separate written agreement signed by ATI expressly supersedes them. Any additional or conflicting terms in a Customer purchase order or other communication shall not apply unless ATI accepts them in writing.

2. Orders and Acceptance

All orders are subject to ATI’s review and acceptance. ATI reserves the right to accept, reject, limit, or cancel any order at its discretion, including for reasons of product availability, pricing errors, export compliance, or suspected fraud.

An order is not binding on ATI until ATI issues a written order acknowledgment, invoice, or shipment confirmation. ATI may decline orders from resellers or distributors where it deems appropriate.

3. Product Information and Changes

ATI makes reasonable efforts to provide accurate product descriptions, specifications, pricing, and availability information. However, such information may occasionally contain errors or omissions.

ATI reserves the right to update product specifications, correct errors, improve or discontinue products, and revise pricing or documentation at any time without prior notice. Customers are responsible for verifying that selected products are suitable for their intended use before placing an order.

4. Pricing

All prices are in U.S. dollars and are subject to change without notice unless stated in a valid written quotation. Quotations expire on the date stated, or within a commercially reasonable period if no date is specified.

Prices do not include shipping, handling, insurance, duties, taxes, tariffs, or similar charges unless expressly stated. ATI reserves the right to correct pricing errors and cancel orders arising from such errors.

5. Payment Methods and Payment Terms

Payment must be made in accordance with the terms stated on ATI’s invoice, quotation, or order acknowledgment. ATI reserves the right to require payment in full prior to shipment unless otherwise agreed in writing.

ATI accepts the following payment methods:

  • Bank wire transfer
  • Credit card
  • PayPal

For direct orders placed by email or through ATI sales representatives, if Customer chooses to pay by PayPal or by credit card through PayPal, ATI will send an official PayPal invoice or payment link to the Customer’s designated email address for payment processing.

For security and fraud-prevention purposes, ATI does not provide its PayPal account information for direct customer transfers. Customers must make PayPal payments only through an official ATI-issued PayPal invoice or payment link.

ATI may delay, suspend, or cancel any order if payment is not received, cannot be verified, is declined, or does not comply with ATI’s payment requirements.

For international bank wire transfers, Customer is responsible for all routing, intermediary, and receiving bank fees to ensure ATI receives the full invoice amount.

6. Taxes, Duties, and Import Charges

Customer is responsible for all applicable sales tax, use tax, VAT, GST, import duties, customs charges, brokerage fees, tariffs, and other governmental charges associated with the purchase, shipment, or importation of ATI products, except for taxes based solely on ATI’s net income.

All import duties, tariffs, and customs clearance fees are the sole responsibility of the Customer or consignee unless ATI expressly agrees otherwise in writing. If ATI is required to collect or remit any such taxes or charges, Customer agrees to reimburse ATI promptly, unless Customer provides a valid and applicable tax exemption certificate.

7. Shipping; Returns and Refunds

Shipping terms, processing times, delivery estimates, carrier policies, and procedures for refused or undeliverable shipments are governed by ATI’s Shipping Policy. Return eligibility, RMA requirements, restocking fees, return shipping responsibility, and refund timing are governed by ATI’s Return & Refund Policy. Both policies are incorporated into these Terms by reference.

For international shipments, unless otherwise expressly agreed in writing, all deliveries are Ex Works (EXW) or Free Carrier (FCA) ATI’s facility per Incoterms® 2020.

8. Limited Warranty

ATI warrants that its products will perform substantially in accordance with the applicable product specifications in effect at the time of sale for a period of one (1) year from the date of sale, provided that the products have not been subjected to misuse, abuse, improper installation, unauthorized modification, negligence, accident, or other improper handling.

If a product is determined to be defective during the warranty period, ATI may, at its sole discretion, repair, replace, or exchange the product, or issue a credit or refund. This warranty applies to the original purchaser only unless ATI agrees otherwise in writing.

This warranty does not cover:

  • Damage caused by misuse, abuse, neglect, or accident.
  • Improper installation, wiring, storage, transport, or maintenance.
  • Unauthorized repair, alteration, or modification.
  • Damage caused by electrical overstress, abnormal power conditions, or environmental stress.
  • Normal wear and tear or consumable items.
  • Use inconsistent with ATI product documentation or intended purpose.

To submit a warranty claim, Customer must contact ATI and provide the product model, serial number (if applicable), date of purchase, ATI order number, and a description of the alleged defect. ATI may require photographs, test data, or return of the product for evaluation, and Customer should include the original packing slip with any return to allow ATI to identify and process the return promptly. Products returned without prior written direction from ATI may be refused and returned to sender at sender’s expense.

Except as expressly stated in this Section, ATI makes no other warranty of any kind, express or implied.

9. Customer Application Responsibility

ATI products are designed for use in technical, industrial, laboratory, OEM, and engineering applications. Customer is solely responsible for the design, validation, installation, integration, testing, operation, and safety of any system or application incorporating ATI products.

Customer must implement appropriate design safeguards, operating protections, and compliance measures for the intended application. ATI does not assume responsibility for application assistance, system or circuit design, integration support, end-use performance, regulatory compliance of Customer systems, or hazards arising from Customer-specific use conditions.

10. Restricted and High-Risk Uses

Unless ATI expressly agrees otherwise in writing, ATI products are not authorized for use in:

  • Life-support or medical devices intended to sustain life.
  • Surgical implants or invasive medical applications.
  • Nuclear facilities or radioactive environments.
  • Aviation safety-critical systems.
  • Weapons systems or other military applications.
  • Any application where product failure could reasonably be expected to result in personal injury, death, or significant property or environmental damage.

If Customer uses ATI products in any such application without ATI’s prior written approval, Customer does so entirely at its own risk and agrees to defend, indemnify, and hold ATI harmless from any resulting claims, liabilities, damages, losses, costs, and expenses.

11. Intellectual Property

ATI retains all right, title, and interest in and to its proprietary technologies, methods, know-how, documentation, hardware, software, firmware, mechanical and optical designs, product architectures, and all related improvements and inventions.

No license, right, or immunity — express or implied — is granted under any ATI patent, copyright, trademark, trade secret, or other intellectual property right, except as expressly set forth in a separate written agreement signed by ATI.

12. Export Compliance

Customer agrees to comply with all applicable export control, import control, sanctions, and trade laws and regulations of the United States and any other relevant jurisdiction. Customer shall not export, re-export, transfer, or use ATI products in violation of any such laws.

ATI may refuse, delay, or cancel any order if ATI has reason to believe that fulfilling the order may violate applicable export or trade compliance requirements.

13. Disclaimer of Warranties

Except for the limited warranty expressly stated in Section 8, ATI provides all products and services “as is” and, to the maximum extent permitted by applicable law, disclaims all other warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

ATI does not warrant that the operation of any product will be uninterrupted or error-free, or that any product will be suitable for Customer’s specific application.

14. Limitation of Liability

To the maximum extent permitted by applicable law, ATI shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages — including loss of profits, revenue, business opportunity, use, data, or downtime — arising out of or related to the sale, delivery, use, misuse, or inability to use ATI products or services, regardless of the legal theory, even if ATI has been advised of the possibility of such damages.

ATI’s total cumulative liability for any claim arising from a specific order, product, or service shall not exceed the amount actually paid by Customer to ATI for that specific product or service.

15. Indemnification

Customer agrees to defend, indemnify, and hold harmless ATI, its affiliates, officers, directors, employees, agents, and representatives from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising from:

  • Customer’s misuse or improper use of ATI products.
  • Customer’s products, systems, or applications that incorporate ATI products.
  • Customer’s violation of applicable law or regulation.
  • Customer’s breach of these Terms.
  • Any claim resulting from Customer-specific specifications, modifications, integration, or end use.

16. Privacy

Customer information is handled in accordance with ATI’s Privacy Policy, which is incorporated into these Terms by reference.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

18. Entire Agreement and No Waiver

These Terms, together with any applicable ATI quotation, order acknowledgment, invoice, Shipping Policy, Return & Refund Policy, and Privacy Policy, constitute the entire agreement between ATI and Customer with respect to the subject matter hereof, and supersede all prior or contemporaneous understandings, representations, or agreements, whether written or oral.

ATI’s failure to enforce any provision of these Terms on any occasion shall not constitute a waiver of ATI’s right to enforce that provision or any other provision on any other occasion.

19. Force Majeure

ATI shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, epidemics, pandemics, war, terrorism, civil unrest, labor disputes, material or component shortages, transportation disruptions, power failures, cyber incidents, supplier delays, or government actions.

20. Governing Law

These Terms and any dispute arising out of or relating to the sale of ATI products or services shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded and shall not apply.

21. Changes to These Terms

ATI reserves the right to update or modify these Terms at any time by posting a revised version on its website or otherwise providing notice to Customers. The version in effect at the time ATI accepts a Customer’s order shall generally apply to that order unless otherwise required by law.
